1. THE NATURE OF OUR PARTNERSHIP

Īśvara Temple, led by Sarka Sakura ("The Consultant"), provides high-level strategic advisory, fractional leadership, and executive mentoring.

• B2B Relationship: All engagements are conducted on a Business-to-Business (B2B) basis. Engagement as a "Fractional Executive" does not constitute an employer-employee relationship, a legal partnership, or a joint venture.

• Scope of Mandate: The specific scope of work, milestones, and deliverables for Fractional and Transformation mandates will be governed by a separate Statement of Work (SOW) or Letter of Engagement, which shall take precedence over these general terms in the event of any conflict.

 

2. INTELLECTUAL PROPERTY & SOVEREIGNTY

2.1 Ownership of Content: All content on this website, including but not limited to text, teachings, proprietary concepts, business ideas, imagery, audio, video, and specific offerings, is the intellectual property of Īśvara Temple unless otherwise stated.

2.2 Strict Prohibitions: Any copying, reproduction, distribution, adaptation, publication, or transmission of any part of this website, our frameworks, or our offerings, in whole or in part, without prior written permission from Īśvara Templeis strictly prohibited. This includes the "scraping" of content for AI training models or the unauthorized "white-labelling" of our methodologies.

2.3 Limited License for Clients: When you engage our services, you are granted a non-exclusive, non-transferable license to use our frameworks (such as the Conscious Commercial Transformation Framework) for the internal growth of your specific organisation. This license does not extend to the use of these concepts for external commercial gain or public distribution.

2.4 Client Data Sovereignty: We respect your architecture as much as our own. You retain full ownership and sovereignty over your specific business data, P&L information, and internal strategic documents shared during our partnership.

 

3. THE FRACTIONAL TWINNING PROTOCOL

In the event of a "Fractional Twinning" engagement:

• You acknowledge that you are engaging two senior operators with shared accountability to provide 360-degree leadership.

• Specific communication and reporting protocols will be established at the outset to ensure streamlined decision-making.

• The liability of Īśvara Temple remains limited to the scope defined in your specific contract, regardless of the number of individuals involved in the "Twin" delivery.

 

4. PROFESSIONAL BOUNDARIES & LIABILITY

• Strategic Advisory: Īśvara Temple provides strategic and operational guidance based on extensive executive experience. We are not a law firm, a registered financial advisory, or a mental health provider.

• Decision Sovereignty: The final responsibility for all business decisions, financial investments, and personnel changes remains with the Client’s Board, CEO, or Founder.

• Limitation of Liability: To the maximum extent permitted by law, Īśvara Temple’s liability for any claim is limited to the total fees paid by the Client for the specific engagement in the six months preceding the claim. We are not liable for indirect or consequential losses.

 

5. FINANCIAL GOVERNANCE

• Investment Structure: Fractional mandates are typically billed as monthly retainers or fixed-price "Strategic Sprints." Invoices are due upon receipt or within 7 days.

• Late Payments: We reserve the right to suspend executive capacity and project delivery if invoices remain unpaid beyond 14 days.

• Digital Products & Events: Fees for the Learning Temple and wellness events are generally non-refundable but may be transferable at our discretion.

 

6. CANCELLATION & TERMINATION

• Fractional/Advisory: Termination of ongoing partnerships requires a standard notice period (typically 30 days) to ensure a disciplined "handover of architecture" and capability transfer.

• Mentoring: We require 48 hours' notice for the rescheduling of 1:1 sessions.

 

7. THE "LOVELY HUMAN" CLAUSE (CODE OF CONDUCT)

Īśvara Temple is a high-trust, high-integrity environment. We operate with radical transparency and commercial rigour. We reserve the right to terminate any partnership immediately, without refund, in the event of unprofessional or abusive behaviour, or a breach of confidentiality.

 

8. CONFIDENTIALITY & NON-DISCLOSURE

By engaging with our Partnerships Architecture, both parties agree to a mutual Non-Disclosure. We will protect your commercial secrets, P&L data, and strategic intent with the highest level of professional care. This obligation survives the termination of our working relationship.

 

9. GOVERNING LAW

These terms are governed by the laws of England and Wales. Any disputes that cannot be resolved through a strategic conversation will be subject to the exclusive jurisdiction of the English Courts.
